PUBLIC OFFER FOR THE CONCLUSION OF A DISTANCE RETAIL SALES AGREEMENT

This document constitutes an official offer (public offer) by ZZ POP LLC to enter into a distance retail
sales agreement under the terms and conditions set forth below.
Pursuant to Articles 435, 437, 494, and 497 of the Civil Code of the Russian Federation, this document
constitutes a public offer.

1. General Provisions

1.1. The Seller offers food products under the ZZPOP trademark through the online store located at:
https://zzpopcorn.com/ru/
1.2. This Public Offer establishes the procedure for the sale of goods to individuals through distance
selling methods.
1.3. Any legally competent individual who has reached the age established by the laws of the Russian
Federation may act as a Buyer.
1.4. Placing an Order on the Website and clicking the “Place Order” button constitutes the Buyer’s full
and unconditional acceptance of the terms of this Public Offer.
1.5. The Agreement shall be deemed concluded upon confirmation of payment for the Order through
the YooKassa payment system.

3. Subject Matter of the Agreement

3.1. The Seller undertakes to transfer food products (hereinafter referred to as the “Goods”) presented
in the online store to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the
terms of this Public Offer.
3.2. The primary assortment of the online store consists of ready-to-eat ZZPOP popcorn in various
flavors and serving sizes.
3.3. Information regarding the name, composition, price, and characteristics of the Goods is available
on the pages of the online store.

4. Order Placement Procedure

4.1. To place an Order, the Buyer shall:

• select the Goods;
• choose the serving size (S, M, or L);
• add the Goods to the
  shopping cart;
• proceed to the checkout page;
• provide the required information;
• select a delivery or pickup method;
• pay for the Order.

4.2. When placing an Order, the Buyer shall provide accurate personal and delivery information.
4.3. The Order shall be deemed accepted for processing by the Seller after payment has been
successfully completed.
4.4. The Seller may contact the Buyer to clarify Order details; however, such clarification is not a
mandatory condition for processing the Order.
4.5. All Goods displayed on the Website and available for ordering are in stock and available for
purchase.

5. Product Price and Payment Procedure

5.1. Prices of the Goods are displayed on the online store Website in Russian Rubles (RUB).
5.2. Delivery charges are calculated separately and depend on the selected delivery method and
destination region.
5.3. Payment shall be made exclusively in a cashless form (online payment by bank card) through the
YooKassa payment system.
5.4. Bank cards supported by the YooKassa payment system are accepted for payment.
5.5. An electronic fiscal receipt shall be generated and provided to the Buyer in accordance with the
requirements of the legislation of the Russian Federation.

6. Delivery and Receipt of Goods

6.1. Delivery is available throughout the territory of the Russian Federation.
6.2. The following methods of receiving the Goods are available:
Courier Delivery

• CDEK Express Door-to-Door Delivery;
• CDEK Courier Delivery.

Delivery usually takes from 1 to 2 days depending on the destination region.
6.3. Delivery costs are calculated automatically during checkout.

6.4. The risk of accidental loss or damage to the Goods passes to the Buyer upon delivery of the Goods.

7. Returns and Refunds

7.1. Since the Goods sold are food products, the return or exchange of Goods of proper quality after
delivery to the Buyer is not permitted under the legislation of the Russian Federation.
7.2. The Buyer may submit claims regarding Goods of inadequate quality (spoiled products, damaged
packaging, expired shelf life, or other defects).
7.3. Claims regarding the quality of the Goods must be submitted within 24 hours of receipt.
7.4. To review a claim, the Buyer must provide:

• a description of the defect;
• photographs of the Goods and packaging (if available);
• Order information.

7.6. Returns of defective Goods shall be accepted exclusively through the Seller’s pickup locations.
7.7. Upon confirmation that the Goods are defective, the Seller may, at its discretion:

• issue a refund;
• replace the Goods with equivalent Goods;
• offer another
  mutually agreed method of resolving the claim.

7.8. Refunds shall be made using the same payment method used for the original transaction within the
time limits established by applicable law and the rules of the payment system.

8. Personal Data

8.1. By placing an Order, the Buyer consents to the processing of personal data to the extent necessary
for the performance of this Agreement.
8.2. Personal data shall be processed in accordance with the legislation of the Russian Federation and
the Seller’s Privacy Policy.

9. Liability of the Parties

9.1. The Parties shall bear liability in accordance with the legislation of the Russian Federation.
9.2. The Seller shall not be liable for any damage resulting from improper use of the Goods by the
Buyer.
9.3. The Seller shall not be liable for failure to perform its obligations due to disruptions in
communication networks, Internet service providers, payment systems, software, or other technical
reasons beyond the Seller’s control.
9.4. Images of the Goods displayed on the Website are for illustrative purposes only and may differ
slightly from the actual appearance of the Goods.
9.5. The Buyer is responsible for the accuracy of the information provided when placing an Order.

10. Force Majeure

10.1. The Parties shall be released from liability for partial or complete failure to perform obligations
under this Agreement if such failure results from force majeure circumstances.
10.2. Force majeure circumstances include:

• war;
• terrorist acts;
• civil unrest;
• natural disasters;
• fires;
• floods;
• epidemics and pandemics;
• power outages;
• communication
  infrastructure failures;
• actions of governmental and local authorities;
• other
  circumstances that the Parties could not reasonably foresee or prevent.

10.3. The Party affected by force majeure shall notify the other Party as soon as reasonably possible.

11. Dispute Resolution

11.1. All disputes and disagreements shall be resolved through negotiations.
11.2. If no agreement can be reached, disputes shall be resolved in accordance with the legislation of
the Russian Federation.

12. Final Provisions

12.1. This Public Offer shall remain effective indefinitely until withdrawn or replaced by a new version.
12.2. The Seller reserves the right to amend this Public Offer without prior notice to Buyers.
12.3. The current version of the Public Offer shall be published on the online store Website.
12.4. Any matters not regulated by this Public Offer shall be governed by the legislation of the Russian
Federation.
